Agreement to Terms

By accessing or using FacilityLane's services, you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using or accessing our services.

Description of Service

FacilityLane provides a cloud-based Computerized Maintenance Management System (CMMS) platform that helps organizations manage their maintenance operations, assets, work orders, and related activities. Our services are provided on a subscription basis as described in our pricing plans.

Account Registration

To use our services, you must:

  • Create an account with accurate and complete information
  • Be at least 18 years of age
  • Maintain the security of your account credentials
  • Notify us immediately of any unauthorized access
  • Accept responsibility for all activities under your account

Subscription and Payment

Billing

Subscriptions are billed in advance on a monthly or annual basis. You agree to pay all fees associated with your subscription plan. Prices are subject to change with 30 days' notice.

Free Trial

We may offer a free trial period. At the end of the trial, your account will be converted to a paid subscription unless you cancel before the trial ends.

Refunds

Annual subscriptions may be eligible for a prorated refund within 30 days of purchase. Monthly subscriptions are non-refundable.

Acceptable Use

You agree not to:

  • Use the service for any illegal purpose
  • Violate any intellectual property rights
  • Transmit viruses or malicious code
  • Attempt to gain unauthorized access to our systems
  • Interfere with or disrupt the service
  • Share your account credentials with unauthorized users
  • Use the service to send spam or unsolicited communications
  • Reverse engineer or attempt to extract source code

Data Ownership

Your Data

You retain all rights to the data you upload to our platform. We do not claim ownership of your content. You grant us a limited license to use your data solely for the purpose of providing our services.

Data Export

You may export your data at any time through our platform. Upon account termination, we will make your data available for export for 30 days before deletion.

Intellectual Property

The FacilityLane platform, including all software, documentation, designs, and content, is owned by FacilityLane and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works without our written permission.

Service Availability

We strive to maintain 99.9% uptime but do not guarantee uninterrupted service. We may perform scheduled maintenance with advance notice. We are not liable for any downtime or service interruptions beyond our reasonable control.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FACILITYLANE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF YOUR USE OF OUR SERVICES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU IN THE TWELVE MONTHS PRECEDING THE CLAIM.

Indemnification

You agree to indemnify and hold harmless FacilityLane and its officers, directors, employees, and agents from any claims, damages, or expenses arising from your use of our services or violation of these terms.

Termination

Either party may terminate this agreement:

  • By you: Cancel your subscription at any time through your account settings
  • By us: Immediately if you violate these terms
  • By us: With 30 days' notice for any reason

Upon termination, your right to use the service will immediately cease, and we may delete your data after the export period.

Dispute Resolution

Any disputes arising from these terms or your use of our services shall be resolved through binding arbitration in San Francisco, California, in accordance with the rules of the American Arbitration Association. You agree to waive any right to a jury trial or to participate in a class action.

Governing Law

These terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions.

Changes to Terms

We reserve the right to modify these terms at any time. We will provide notice of material changes through our platform or via email. Your continued use of the service after such changes constitutes acceptance of the new terms.
